ShortCut™ is designed to provide a safe, simple, and effective way to split leaflets of a pre-existing valve to enable TAVR in patients at risk for coronary obstruction and may assist in preserving coronary access.

Pi-Cardia is seeking a hands-on, business-oriented Legal Counsel to lead and manage all legal activities across the company and its U.S. subsidiary.

This role combines direct legal execution with coordination of external counsel, and includes full ownership of the company’s contract lifecycle, legal documentation, and due diligence readiness. The Legal Counsel will serve as the primary legal partner to management and work closely with the company’s U.S.-based Compliance Officer. The ideal candidate is pragmatic, detail-oriented, and comfortable operating independently in a fast-paced, growth-stage environment.

Key Responsibilities

1. Commercial & Contracting (Hands-on + Management)

  • Draft, review, and negotiate a wide range of agreements, including:
  • U.S. hospital and commercial agreements (IDNs, GPOs, distributors)
  • Clinical, consulting, and service agreements
  • Vendor, supplier, and manufacturing agreements
  • NDAs and collaboration agreements
  • Independently handle day-to-day agreements while leveraging external counsel for complex or specialized matters
  • Support contract negotiations with U.S. customers and partners
  • Ensure alignment between legal positions and business objectives

2. External Counsel Management

  • Manage and coordinate external legal counsel in Israel and the U.S.
  • Define scope of work, prioritize matters, and control legal spend
  • Ensure quality, consistency, and timely delivery of external legal support
  • Maintain continuity of legal knowledge across matters and advisors

3. Legal Operations, Documentation & Due Diligence

  • Own and manage the company’s legal document repository, ensuring all agreements and corporate records are:
  • Properly executed
  • Accurately archived
  • Easily accessible and traceable
  • Establish and maintain end-to-end contract lifecycle processes, including drafting, negotiation, execution, and renewal tracking
  • Ensure proper signature processes and authority controls across the organization
  • Lead legal aspects of due diligence processes (investors, partners, M&A), including:
  • Organizing and maintaining data rooms
  • Ensuring completeness and consistency of legal documentation
  • Supporting review of representations & warranties
  • Maintain and continuously improve legal templates, trackers, and playbooks
  • Act as the internal owner of legal readiness for audits, financings, and strategic transactions

4. Corporate & Governance

  • Support corporate governance for Pi-Cardia Ltd. and Pi-Cardia Inc.
  • Prepare and maintain board and shareholder documentation
  • Support financing transactions, partnerships, and strategic initiatives
  • Coordinate corporate matters with external counsel in Israel and the U.S.

5. Employment & Labor Law Support

  • Support employment-related legal matters across Israel and the U.S., including employment agreements, contractor engagements, HR policies, and employee relations matters
  • Coordinate with external employment counsel on labor law matters, compliance requirements, and workplace-related legal issues
  • Advise management on day-to-day employment and workplace legal matters and ensure alignment with applicable laws and company policies

6. Compliance & Risk Management

  • Work closely with the company’s U.S.-based Compliance Officer
  • Support implementation and maintenance of compliance programs
  • Review and advise on commercial and operational practices from a legal and compliance perspective
  • Identify legal risks and provide practical, business-oriented solutions
  • Support dispute management and pre-litigation matters

Requirements

  • LL.B. (or equivalent law degree), licensed to practice law in Israel
  • 4–8+ years of relevant legal experience (law firm and/or in-house)
  • Experience in medical devices, healthcare, or life sciences – strong advantage
  • Experience with U.S. commercial agreements and legal frameworks – strong advantage
  • Strong contract drafting and negotiation skills
  • Experience working with external counsel and managing legal processes
  • High attention to detail, particularly in documentation and organization
  • Native-level English proficiency
  • Business-oriented and pragmatic
  • Hands-on, with a strong sense of ownership
  • Highly organized and detail-focused (especially around documentation and tracking)
  • Able to balance execution with coordination of external resources
  • Comfortable working directly with senior management
  • Proactive and solution-driven
