Job Description
Overview
We are seeking a proactive and commercially minded Legal Executive to support the team in managing the company’s legal, compliance and corporate governance matters in India. The role requires experience across commercial contracting, litigation management, corporate secretarial matters, regulatory compliance and implementation of group legal and compliance standards. The successful candidate should be able to work independently on assigned matters under the guidance of the Legal Team, collaborate with business stakeholders, and provide practical legal solutions in a fast-paced environment.
Key Responsibilities
Legal & Commercial Support
- Draft, review, negotiate and advise on a wide range of commercial agreements, including customer and supplier agreements, Distribution agreements, Service agreements, Non-disclosure agreements, Consultancy agreements, Procurement contracts Lease agreements and Other commercial documents.
- Maintain effective legal documentation, reporting and information management systems relating to contracts, disputes and legal matters.
- Provide support relating to regulatory certifications, permits, industrial licenses and statutory requirements applicable to manufacturing operations.
- Coordinate and manage litigation, arbitration, consumer matters and regulatory proceedings. Liaise with external counsel on case management. Monitor litigation status and ensure timely reporting and compliance with procedural requirements.
- Identify and escalate material legal, compliance, litigation or governance risks to the Manager in a timely manner.
- Support the implementation of group legal, compliance and corporate governance policies in India under the guidance of the Manager.
Corporate Secretarial Support
- Support the Company's corporate governance framework.
- Prepare board and committee meeting agendas, notices, resolutions and minutes.
- Ensure compliance with the Companies Act, 2013 and applicable Secretarial Standards.
- Coordinate statutory filings with the Registrar of Companies and other regulatory authorities.
- Maintain statutory registers, records and corporate documentation
- Assist in board appointments, resignations and other corporate actions.
Skills & Competencies
- Strong drafting and contract negotiation skills.
- Sound knowledge of the Companies Act, 2013 and corporate secretarial practices.
- Good understanding of Indian commercial laws and litigation processes.
- Excellent communication and stakeholder management skills.
- Ability to manage multiple priorities with minimal supervision.
- Demonstrates high integrity, sound judgment, and strong ethical standards
Preferred Experience
Experience in the manufacturing, chemicals, industrial or infrastructure sectors would be an advantage.
Exposure to multinational corporate environments is strongly preferred.
Qualifications
Experience : 6-8 years of post-qualification experience in an in-house legal department and/or a reputed law firm.
Qualifications :
LL.B. from a recognized university.
Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
Strong academic credentials will be preferred.
