Job Description

Duties:

  • Responsible for all commercial agreements for service and / or sales directly with customers and through representatives.
  • Review terms and provide risk analysis and appropriate risk reduction strategies in connection with government tenders and commercial contracts.
  • Support the preparation of bids and proposals. Lead the negotiation of contracts and sub-contracts.
  • Draft and negotiate other commercial contracts as needed (e.g., service agreements; teaming/consortium agreements; product loan and testing agreements; agency and distribution agreements; confidentiality agreements).
  • Be the formal contractual interface with customers for contracts and agreements matters, including preparation of contract related communications, contract amendments, terminations and claims.
  • Participate in the development and maintenance of contract templates and ensure use of approved templates throughout the business.
  • Support the business on trade compliance matters and work with internal stakeholders to help ensure compliance with applicable sanctions, import licenses and export control requirements.
  • Interface with outside counsel, as well as internal staff and corporate management.
  • Participate in preparing and conducting training programs.
  • Other duties may be assigned.

 

Qualifications

Technical Knowledge, Skills and Abilities:

Education/Training

  • Law degree

Experience:

  • Minimum of five years postgraduate experience; in-house legal department experience a plus.
  • Prior transactional experience, including the ability to draft and review contract terms and conditions.
  • A background in government contracts is desirable; experience with public sector contracting a plus

Knowledge/Skills:        

  • Strong verbal and written communication skills, listening and influencing.
  • Good relationship building in a diverse environment.
  • Ability to effectively present information and respond to questions from management, employees, customers and vendors.
  • Strong organizational skills; big-picture oriented but able to focus on the details also.
  • General understanding of compliance and trade compliance principles, including sanctions and export control considerations, with the ability to identify issues and seek specialist support where required.
  • Strong business acumen and commercial awareness, with the ability to advise on legal matters in the context of business strategy and objectives, and to translate legal advice into practical business solutions.

Job Purpose:

  • Draft, review and negotiate commercial and government contracts for sales and service.
  • Contracts management (claims, amendments, terminations) and bid protests.
  • Handle compliance inquiries, support trade compliance matters, and manage due diligence for agents and distributors in the assigned market.
  • Coordinate with outside counsel on litigation matters.
