Senior Legal Counsel – China, Taiwan, Hong Kong

General Legal support

• As part of the Asia Pacific legal team, provide guidance and support on all legal matters for China, Taiwan, Hong Kong with some exposure to Asia Pacific region work.  Work hand-in-hand with CooperVision and CooperSurgical China, Taiwan, Hong Kong teams, APAC teams to ensure coordinated support to drive key projects and transactions, leveraging capabilities in China, Taiwan, Hong Kong and throughout the APAC region. Provide proactive, solution-oriented legal guidance that balances commercial objectives with legal and compliance requirements, and serve as subject matter expert for legal in key commercial projects.

Strategic Legal Partnering 

• Act as a strategic legal adviser and trusted business partner to senior business leaders, contributing to strategic decision-making, risk assessment and execution of business plans in China, Taiwan, Hong Kong with some exposure to Asia Pacific region.
• Build strong, trusted relationships with country managers and key stakeholders to stay ahead of business needs requiring legal support, adopting a proactive rather than reactive approach.
• Influence cross-functional decision-making by embedding legal considerations into business processes and strategy.

Commercial Contracting & SKA Support 

• Responsible for structuring, negotiating and drafting various significant strategic and operational commercial contracts, including supply, distribution, purchasing and vendor agreements.
• Develop and implement contract templates suitable for market to drive consistency, efficiency and scalability.
• Co-lead, with the Head of Legal APAC Lead, to improve strategic legal support for Strategic Key Accounts (SKA), contracting process and infrastructure across APAC in close partnership with Commercial Operations, Sales, Finance and the Head of Legal, APAC.
• Continuously improve the end-to-end contracting framework for SKAs, focusing on simplification, standardization, efficiency and business enablement (including playbooks, templates, training for Sales team, approval matrices and contracting policies, Legal tech / AI solutions).
• Co-partner with the Head of Legal APAC to provide expert guidance on complex SKA negotiations, including non-standard terms.
• Lead knowledge sharing and support acapability building initiatives across APAC Legal, including training, mentoring, best practices and practical toolkits focused on SKA contracting excellence.
• Partner closely with Global Key Accounts (GKA) Commercial Legal to ensure alignment of legal positions, negotiation strategies and global consistency.

Legal Risk Management & Compliance

• Proactively assess potential legal risks to the business and work with management to devise and implement systems and solutions (both internal systems or external systems) to manage these potential risks. 
• Keep relevant market Leadership and Head of Legal, APAC informed of industry-specific regulations and ensure that appropriate risk management strategies are in place to benefit the company and mitigate exposure.
• Deliver preventative training and communications ensuring alignment with Global and Regional compliance program, to reduce legal exposure, drive the right behavior and enhance ethical and compliance culture.
• Support Sales and Marketing teams, including advising in relation to promotions, campaigns and advertising, ensuring compliance with company policies and local law (including competition laws) and regulations. 
• Support all enabling functions (including Sales & Marketing, HR and Finance, etc) on legal issues and key projects. 
• Report on projects, opportunities, results, issues and concerns to Head of Legal, APAC, and other management leaders of applicable business functions.

Business & Functional Support

Legal Operations & External Counsel Management 

• Contribute to the continuous improvement of legal processes, tools, and ways of working across APAC Legal. 
• Leverage legal technology, including AI-enabled tools, to enhance efficiency and service delivery. 
• Build a strong legal network with outside counsel and other advisors in China, Hng Kong, Taiwan as needed. Instruct and manage external counsel, where required, to ensure local law compliance and effectively manage litigation 
• Proactively partner and work with other CooperCompanies lawyers to drive local alignment with global best practices and active knowledge sharing.        Manage alignment with Asia Pacific and Global Legal Team to ensure achievement of Global Legal’s vision.
